Everus Construction Group, Inc. entered into a definitive agreement to acquire Epsilon Industries for $295 million in cash, subject to customary adjustments. The transaction is expected to close in the third quarter of 2026, pending regulatory approvals and other conditions. Everus will fund the acquisition using cash on hand and borrowings under its credit facilities. Epsilon is a designer and manufacturer of modular mechanical and electrical building infrastructure systems with an expected 2026 revenue of approximately $250 million. The deal aims to enhance Everus' off-site construction capabilities, expand geographic reach into Florida, Texas, the Mid-Atlantic, and the Northeast, and increase exposure to data center, advanced manufacturing, and healthcare markets. Everus Construction Group provides electrical, mechanical, transmission, and distribution contracting services across the United States.
